Acceptance of Terms
These Terms and Conditions ("Terms") apply to your use of the Stabyl platform, APIs, and related services (collectively, the "Services") provided by Stabyl Inc. ("Stabyl," "we," "us," or "our"). By accessing or using the Services, you acknowledge and agree to be bound by these Terms. If you do not agree with any of these Terms, do not use the Services.
These Terms may be amended at our discretion by posting an updated version on our website. The revised Terms will take effect immediately upon posting. Your continued use of the Services following such changes constitutes your acceptance of the updated Terms.
Proprietary Rights
All rights, title, and interest, including all intellectual property rights, in and to the following are the exclusive property of Stabyl: (a) our APIs, and all elements, components, and executables thereof; (b) content available through the APIs; (c) our website; and (d) our brand features, trademarks, and logos. Subject to the express licenses granted in these Terms, Stabyl does not grant you any right, title, or interest in any Stabyl materials. You agree to take such actions, including executing any documents, as Stabyl may reasonably request to affirm our intellectual property rights.
Registration and Eligibility
The Stabyl Services provide enterprise-grade access to stablecoin liquidity, including stablecoin-to-fiat and fiat-to-stablecoin transactions, cross-border settlement, and related financial infrastructure for payment service providers (PSPs), banks, exchanges, brokers, and enterprises ("Institutional Clients").
To use the Services, you must complete our registration and onboarding process, which may require you to provide information such as your business name, contact information, corporate registration details, identification documentation, bank account details, and wallet addresses. You are solely responsible for providing accurate information and for updating it promptly if it changes.
You acknowledge that by using the Stabyl Services, certain information may be shared with third parties involved in the operation of the Services, including partner financial institutions, blockchain networks, custodians, and compliance providers. We reserve the right to suspend, limit, or terminate your access to the Services if we are unable to verify your information or if you fail to meet our onboarding requirements.
Account Security
The confidentiality of your account credentials, including usernames, passwords, API keys, and authentication tokens, is solely your responsibility. You are liable for all transactions and activities that occur under your account.
Your account credentials must not be shared with, assigned to, or used by any unauthorized person. You acknowledge that the sharing of credentials may cause irreparable harm to Stabyl, and you shall indemnify Stabyl against any loss or damage suffered as a result. In the event of unauthorized access, you must immediately notify Stabyl. Stabyl shall not be liable for any loss or damage arising from your failure to comply with this provision.
If you are a business entity, you agree that all officers, employees, agents, and representatives with access to your account credentials have been duly authorized by you. You are responsible for all their actions while accessing the Services, whether authorized by you or not.
Your Responsibilities
Your use of the Services must be in good faith and in compliance with all applicable laws, regulations, and sanctions requirements.
All information and materials you provide in connection with the Services must be authentic, true, accurate, and not false, misleading, or deceptive.
You must not use the Services to defraud Stabyl, our partners, or other users, or to engage in money laundering, terrorist financing, sanctions evasion, or any other unlawful activity.
You are solely responsible for the payment of any taxes, duties, governmental levies, or financial charges arising from transactions conducted using the Stabyl Services.
You must comply with all applicable anti-money laundering (AML) and know-your-customer (KYC) requirements.
Transactions and Settlement
All transactions conducted through the Stabyl platform are subject to availability of liquidity, applicable rate quotes, and successful completion of compliance checks. Stabyl reserves the right to decline, delay, or reverse any transaction without prior notice if it does not satisfy our Terms, compliance requirements, or if we have reason to believe the transaction may violate any laws, rules, or regulations.
Transaction limits may apply based on your account tier, verification level, regulatory requirements, or risk assessment. Stabyl reserves the right to modify transaction limits at any time.
Fees
Stabyl may charge fees for the use of the Services, including but not limited to transaction fees, settlement fees, and API usage fees. Applicable fees will be disclosed to you prior to the execution of a transaction or as part of your service agreement. Stabyl reserves the right to modify its fee structure upon reasonable notice.
Privacy
We collect, use, hold, and transfer your personal data in accordance with the Stabyl Privacy Policy. By accepting these Terms, you agree to the Privacy Policy, which is subject to review and update from time to time.
Limitation of Service
Stabyl establishes general practices and limitations concerning the Services, including but not limited to transaction limits, rate validity windows, and API rate limits. Stabyl reserves the right to change, suspend, or discontinue any aspect of the Services at any time, including availability or features, without notice and without liability. Stabyl also reserves the right to impose additional limits or restrict access to the Services without notice.
Limitation of Service
You agree to indemnify, defend, and hold harmless Stabyl, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all losses, damages, actions, claims, legal costs, and liabilities arising directly or indirectly from your breach of these Terms or your use of the Services. Stabyl reserves the right, at its own cost, to assume the exclusive defense and control of any matter subject to indemnification by you.
Service Interruptions
Stabyl shall not be held responsible for any inability to use the Services resulting from:
Scheduled maintenance or system updates announced in advance.
Failures in data transmission due to force majeure events, including but not limited to natural disasters, power outages, or other incidents beyond our control.
Telecommunications equipment or network failures.
Interruptions caused by cyberattacks, regulatory actions, blockchain network congestion, or third-party service provider outages.
Disclaimer and Limitation of Liability
You acknowledge that all risks arising from the use of the Stabyl Services, including risks inherent to digital asset transactions, blockchain technology, and cross-border settlement, shall be borne by you. Except as expressly provided in these Terms and to the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranty of any kind, whether express or implied.
To the fullest extent permitted by law, Stabyl and its affiliates shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to damages for loss of profits or revenue, business interruption, loss of business opportunities, or loss of data, whether in contract, negligence, tort, or otherwise, arising from the use of or inability to use the Services.
Dispute Resolution
In the event of a dispute between you and Stabyl, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may refer the matter to binding arbitration in accordance with the rules of a mutually agreed arbitration body, or pursue resolution through the courts of competent jurisdiction.
Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. The specific governing jurisdiction shall be as set forth in your service agreement with Stabyl or, in the absence of such agreement, the laws of the Federal Republic of Nigeria.
Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.
Headings are for reference purposes only and do not define the scope of any section.
Any failure by Stabyl to exercise a right under these Terms shall not constitute a waiver of that right.
These Terms, together with the Privacy Policy and Data Policy, constitute the entire agreement between you and Stabyl regarding the Services, unless superseded by a separate written service agreement.
